BYLAWS
of THE PAYSON AREA
COMPUTER ASSOCIATION (PACA)
ARTICLE
I NAME
This club will be known
as The Payson Area Computer Association, and also known as PACA.
ARTICLE
II PURPOSE
PACA is a nonprofit
organization organized in 1994 for the purpose of uniting Payson Area computer
enthusiasts to assist and educate its members about personal computers,
software products and the Internet. We promote public speaking, community
participation and leadership development, through our Special Interest Group
meetings.
ARTICLE
III MEMBERSHIP
Section 1. Anyone
interested in computing is eligible to join the organization. Dues will be
paid annually at the first meeting in January, and will be delinquent as of
the March meeting. Any member who has not paid by the March meeting will be
notified by the Treasurer, and upon payment of his/her dues, will be
reinstated.
Section 2.
Individual/Family Dues will be $10.00 (ten) per year.
Section 3. Visitors may
attend one meeting free, and there after they will be asked to donate $1.00
(one) per meeting.
ARTICLE
IV ADMINISTRATION
Section 1.
The administrative affairs of PACA will be vested in the officers
chosen by the membership.
Section 2.
The Board pf Directors have full authority to collect and dispense
funds for the benefit of its membership.
ARTICLE
V OFFICERS
Section 1.
The Board of Directors will consist of those officers elected
annually. The officers of PACA will consist of a President, a Vice President,
a Secretary and a Treasurer.
Section 2.
The President will officiate at all meetings, chair all
committees, and appoint committees as needed on behalf of the membership, and
concur on all expenditures.
Section 3.
The Vice President will be responsible for the programs each
month, and will assume the duties of the President in his/her absence.
Section 4.
The Secretary will keep and maintain the minutes of all business
meetings. He/She will conduct such correspondence as may be required by the
President and the Board of Directors. The office of Secretary/Treasurer may be
combined
Section 5. The
Treasurer will keep records of fees, dues and
monies collected and disbursed, and all records of membership. The
Treasurer=s
books will be audited annually. This will be done before the newly elected
officers take office in January.
ARTICLE
VI DIRECTORS
Section 1.
There will be a Board of Directors which will consist of the President,
the Immediate Past President, the Vice President, the Secretary, and the
Treasurer.
Section 2.
The Board of Directors will have control and management of the club=s
activities, determine all policies, and generally supervise the affairs and
benefits of the club.
ARTICLE
VII ELECTIONS
Section 1.
The annual election will take place at the November meeting. The
Nominating Committee will be appointed at the September meeting.
Section 2.
Nominations will be presented at the October meeting and, nominations
will be accepted from the floor. The elections will be held according to Roberts
Rules of Order. Those elected will take office in January.
Section 3. Only fully paid
members will be entitled to vote, or run for Office. Families are entitled to
one (1) vote.
ARTICLE
VIII MEETINGS
The Regular Monthly
meetings will be held on the 1st Tuesday of the month at a place and time
determined by the Board of Directors.
ARTICLE
IX COMMITTEES
The Board of Directors will
appoint any committees deemed necessary for the Club. The President will appoint
the chair of said committees and announce the same at the next General Meeting.
The place and time will be in the Monthly publications and/or on the Web Page.
ARTICLE X DEMISE
OF PACA
In
the event that PACA ceases to exist, for whatever reasons, all assets revert to
the Payson Public Library.
ARTICLE
XI BYLAWS
These Bylaws may be amended
by a majority vote of those paid members in attendance at any General Meeting.
